Division One
North Central Region, NMRA, Inc.
Article I: Name The name of this Sub-Division of the North Central Region is Division One, also known as the Black Swamp Division.
Article II: Purpose The purpose of Division One is to promote the hobby of model railroading through the exchange of information. Division One, as a Sub-Division of the North Central Region's corporation, is organized exclusively for charitable, educational and literary purposes. Division One is an exempt organization under section 501(c)(3) of the Internal Revenue Code.
Article III. Fiscal Year, Finances and Meetings

Section 1. The fiscal year of Division One shall be from August 1st through July 31st of the following year.

Section 2. An operating budget prepared by the Board of Officers and presented, by the Treasurer, to those Regular Members present at the first regular business meeting of the fiscal year shall be the first order of new business. This budget must outline all proposed spending as well as income, and be approved by a majority of those Regular Members present.

Section 3. The Treasurer shall provide the Trainmaster for Services all application forms for inclusion on the roster.

Section 4. Appropriate accounts shall be established at local banks with both the Treasurer and Superintendent being signatory.

Section 5. Distribution of money exceeding $250.00 for a single item or service shall be approved by a majority vote by the Regular Members at any business meeting. . At any business meeting Regular Members may approve by a majority vote any additional items and any proposed changes to the annual budget.

Section 6. All membership and business meetings shall be held at least four times a year. At least two of these meetings shall be known as business meetings and shall be held in the fall and spring of each fiscal year. A quorum shall be at least two officers and those members present.

Article IV: Membership and Dues Every member in good standing of the NMRA who resides in the territory comprising Division One is a member of Division One and is entitled to participate in all activities sponsored by Division One. No one who is not a member of NMRA may be a member of Division One. There will be no annual dues.
Article V: Territory Division One, as a Sub-Division of the North Central Region, supports the following counties in Ohio: Crawford, Defiance, Fulton, Hancock, Henry, Lucas, Ottawa, Sandusky, Seneca, Williams, and Wood. And in Michigan: Lenawee and Monroe.
Article VI: Committees

Section 1. Nominating Committee Chair The Nominating Committee Chair shall be appointed by the Division One Superintendent no later than January. The committee shall prepare a slate of candidates for offices submitting such slate to the Secretary prior to March for inclusion into the monthly newsletter.

Section 2. Special Committees As the need arises, the Division One Superintendent may appoint Special Committees.

Section 3. Term of Office The term of office of all committee Chair along with committee members shall follow the term of office of the Division One Superintendent.

Article VII: Division One Bylaws and Dissolution The bylaws shall establish and define the methods and rules to manage the affairs and the governance of Division One. New or revisions to the existing bylaws shall be ratified by and take immediate effect upon the affirmative vote of the majority of those members present at any regular business meeting. Should any part of the division's bylaws be in conflict with the North Central Region and/or the NMRA, these bylaws shall be considered amended in principle and shall be formally amended to agree at the earliest opportunity.In the event of the dissolution of Division One the assets and records of Division One shall be transferred to the Board of Officers of the North Central Region.
Article VIII: Operation, Term, Officers, Board of Officers and Election of Officers

Section 1. Operation The operation of Division One as a Sub-Division of the North Central Region shall be managed by the Division One Board of Officers.

Section 2. Election of Officers All of the officers of Division One will be elected by the membership as required by the North Central Region and Division One. The election of officers shall take place at the last regular business meeting of the fiscal year.

Section 3. Term of Office The term of office is for two years. A candidate may be nominated and run for any number of terms in any of those offices as listed in these Division One Bylaws.

Section 4. Superintendent The Superintendent shall be in charge of Division One and preside at all meetings of Division One and the Division One Board of Officers. The Superintendent shall represent the division and serve as a director on the North Central Region's Board of Officers. The Superintendent shall appoint the Chair of all committees. In the event that the Division One Superintendent is unwilling or unable for any reason to serve as the Division One representative on the NCR board of directors, the Division One board of directors shall appoint an alternate representative to the NCR board. This representative must be either a current Division One board member, or a past Superintendent of Division One. The appointee's term of service will run concurrent with the Superintendent's elected term.

Section 5. Assistant Superintendent. The Assistant Superintendent shall preside at meetings when the superintendent is absent. Should the office of superintendent become vacant during a term, the assistant superintendent will assume the duties of the superintendent. The Assistant Superintendent will also act as Program Chair and shall arrange for programs at regularly scheduled meetings and at other times as agreed upon, to include but not limited to clinics, layout tours, and prototype tours.

Section 6. Treasurer The treasurer shall present the budget to the membership at the first regular meeting of the fiscal year, shall have custody of the financial reports and all moneys, funds and property of Division One, shall provide reports of the financial condition of Division One at each business meeting, receive all moneys, shall disperse funds as directed by the Board of Officers. However, distribution of money exceeding $250.00 for a single item or service shall be approved by a majority vote by the members at any business meeting.

Section 7. Secretary The secretary shall keep the minutes of all of the Division One meetings and the Board of Officers meetings. In addition the Secretary shall arrange for the preparation and distribution of ballots as required by these Bylaws.

Section 8. Trainmaster for services The Trainmaster for services is responsible for the "house set up" and arranging for refreshments for meetings and outings. The Trainmaster shall be responsible for other meeting - related duties as delegated by the superintendent and / or the board.

Section 9: Board of Officers The Board of Officers shall consist of all elected officers, the most recent past superintendent who is not serving in another Division office, and one director elected at large from the membership, and shall act for the membership on matters which are not specifically provided in the Division One Bylaws and in which in their considered opinions do not require action by the membership at large. If the most recent past Superintendent is unable or unwilling to serve as a director, any member in good standing may be nominated and elected to serve as a director in his place.

Article IX: Rules and Regulations The Board of Officers by a vote of the majority may adopt reasonable rules and regulations for the general operation of the division. A written document shall be available to all Division One members outlining such rules and regulations.
Article X: Amendments These Bylaws may be amended or new Bylaws adopted upon the affirmative vote of two-thirds of the members present at any regular or special meeting of the members. Notice of a proposed amendment shall be published in the Train Order prior to the meeting.
